3. Account Registration and Security

To use certain features of our services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update this information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
3.3 One Account Per User
You may not create multiple accounts for the same user or entity. We reserve the right to terminate duplicate accounts.
4. Subscription and Payment

4.2 Payment Terms

5. User Content and Licenses
5.1 User Content Definition
"User Content" refers to any information, data, text, documents, or other materials that you upload, input, or otherwise provide to our platform.
5.2 Ownership of User Content
You retain all rights to your User Content. By uploading User Content to our platform, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, process, adapt, modify, and display your User Content solely for the purpose of providing and improving our services to you.
5.3 Training Data
You acknowledge that your chatbot's performance depends on the User Content you provide for training. You are responsible for ensuring that you have all necessary rights to provide such content for these purposes.
6. Acceptable Use Policy
You agree not to use our services to:
- Violate any applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Transmit any material that is defamatory, obscene, or otherwise objectionable
- Distribute malware or engage in any activity that could harm our systems or other users
- Generate or distribute spam, unsolicited communications, or bulk messages
- Impersonate any person or entity or misrepresent your affiliation with a person or entity
- Engage in any activity that could interfere with or disrupt our services
- Scan websites without proper authorization or in violation of their terms of service
We reserve the right to terminate your access to our services for violations of this policy.
6.1 Website Scanning Responsibilities
You represent and warrant that you have the legal right to scan any website you submit to our services. You may only scan:
- Websites you own
- Websites for which you have explicit permission from the owner
- Websites whose terms of service permit automated scanning
You are solely responsible for ensuring compliance with all applicable laws and the terms of service of any website you scan. ChatterPi is not responsible for any unauthorized scanning activities. You agree to indemnify ChatterPi against any claims arising from your unauthorized use of website scanning features.
7. Intellectual Property Rights
7.1 Our Intellectual Property
Our platform, including its design, features, functionality, and content provided by us (excluding User Content), is owned by ChatterPi and protected by copyright, trademark, and other intellectual property laws.
7.2 Limited License to Use Platform
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platform for your internal business purposes.
7.3 Feedback
If you provide us with feedback or suggestions regarding our services, you grant us a perpetual, irrevocable, non-exclusive, transferable, royalty-free license to use such feedback for any purpose without compensation to you.
8. Data Security and Privacy
We take data security seriously and implement reasonable measures to protect your information. Our privacy practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.1 AI-Generated Content and Responsibilities
ChatterPi is designed to prevent hallucinations by only generating responses from content you provide (website scans, documents, Q&A pairs). When your chatbot doesn't have relevant information, it will indicate it doesn't know rather than fabricating answers.
However, AI technology can produce unexpected outputs. You are responsible for:
- Accuracy and legality of all training content you provide
- Testing your chatbot before public deployment
- Monitoring responses and intervening when necessary
- Any claims arising from your chatbot's responses to end users
We make no warranties regarding AI-generated content. You agree to indemnify ChatterPi for any claims arising from your chatbot's responses or operations.
9. Limitation of Liability
To the maximum extent permitted by law, ChatterPi and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or in connection with these Terms or your use of the services.
Our aggregate liability to you for all claims arising out of or relating to these Terms or your use of the services will not exceed the amount you have paid to us for the services in the 12 months preceding the event giving rise to the liability.
10. Disclaimer of Warranties
The services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the services will be uninterrupted or error-free, that defects will be corrected, or that the services or the servers that make them available are free of viruses or other harmful components.
11. Indemnification
You agree to indemnify, defend, and hold harmless ChatterPi and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:
- Your use or misuse of our services
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your unauthorized scanning of websites or violation of website terms of service
- Any claims arising from your chatbot's responses or AI-generated content
12. Term and Termination
These Terms will remain in effect until terminated by you or ChatterPi.
You may terminate these Terms at any time by canceling your account and ceasing all use of our services.
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the changes becoming effective.
Your continued use of our services after any changes to these Terms constitutes your acceptance of such changes.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or your use of our services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in San Francisco, California.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChatterPi regarding your use of our services and supersede all prior agreements and understandings.
15.2 Waiver and Severability
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Assignment
You may not assign or transfer these Terms or any rights or obligations under these Terms without our prior written consent. We may assign these Terms and our rights and obligations to any third party without notice to you.
